Welcome to YusMe. These Master Terms and Conditions (the "Agreement") govern your access to and use of the YusMe mobile applications, website, and related digital infrastructure (collectively, the "Platform"), owned and operated by YusMe LMT ("we," "us," or "our"). By downloading the application, registering for an account, or accessing the Platform, you ("User," "Customer," or "Service Provider") agree to be bound by this Agreement. If you do not agree, you must immediately cease all use of the Platform.

1. Definitions and Platform Scope

1.1. Nature of the Platform: YusMe operates an autonomous two-sided digital marketplace connecting individuals seeking skilled services and related products ("Customers") with independent professionals and businesses offering such services and products ("Service Providers"). We provide the technological infrastructure, booking management, and secure payment facilitation. We do not directly employ Service Providers, nor do we manufacture, own, or endorse the physical products sold on the Platform.

1.2. Key Terms:

  • "Wallet Balance" refers to the digital ledger representing fiat funds (denominated in Central African CFA Francs, XAF) deposited by a User or earned by a Service Provider, held securely within the Platform's ecosystem.

  • "Escrow System" refers to the secure financial holding mechanism wherein Customer funds are held by YusMe in a neutral capacity until the verified completion of a service or delivery of a product.

  • "Product Add-ons" refers to physical goods or attached services sold directly by a Service Provider to a Customer in conjunction with, or related to, a booked service (e.g., cleaning liquids sold by a cleaning service).

  • "Sub-Account" refers to a secondary access profile created and managed by a primary business Service Provider account, intended for use by the business's employees or authorized agents.

2. Account Registration, Sub-Accounts, and Verification

2.1. Account Creation and KYC Compliance: To offer services, sell products, or utilize the Wallet Balance, Users must register an account and undergo mandatory identity verification (Know Your Customer or "KYC"). Service Providers must submit a valid government-issued ID card and, where applicable, professional certifications. We reserve the right to suspend or terminate accounts that fail to meet compliance frameworks, engage in fraudulent activity, or violate anti-money laundering (AML) protocols.

2.2. Master-Servant Liability for Sub-Accounts: The Platform permits business entities to create Sub-Accounts for their employees to streamline booking distribution and centralize payment collection. By creating a Sub-Account, the primary business account holder (the "Master Account") acknowledges and legally accepts strict liability under the commettant-préposé doctrine for all actions, negligence, or contractual breaches committed by the Sub-Account user.

  • The Master Account is jointly and severally liable for all financial charges accrued and actions taken by Sub-Accounts.

  • YusMe disclaims any employment relationship with Sub-Account users. The Master Account is solely responsible for compliance with Cameroonian labor laws, including wage distribution and National Social Insurance Fund (NSIF) contributions.

  • All payments executed by Customers for services rendered by a Sub-Account will route directly to the Master Account's Wallet Balance.

3. Payment Infrastructure: The Wallet, Escrow, and Cash Transactions

3.1. The YusMe Wallet and CEMAC Compliance: The in-app Wallet operates strictly in Central African CFA Francs (XAF). The Wallet is not a bank account but a digital interface reflecting funds held in aggregated, regulated accounts managed by our licensed financial partners in compliance with BEAC and COBAC regulations.

  • The Wallet is restricted to domestic transactions within the CEMAC zone; international remittance features are not currently supported without appropriate foreign exchange declarations.

  • Transactional Fees: YusMe assesses a standard 3% fee on all fiat deposits into the Wallet and a 3% fee on all withdrawals, equating to a 6% effective transactional cost for funds flowing through the ecosystem, subject to modification based on market dynamics.

3.2. The Escrow Mechanism: To guarantee financial security, all non-cash transactions are processed through the YusMe Escrow System.

  • Upon a Customer confirming a booking, the required funds are deducted from their Wallet Balance and held in escrow.

  • Funds are only released to the Service Provider's Wallet Balance upon mutual confirmation of service completion or product delivery. If a Customer fails to raise a dispute within 24 hours of the Provider marking the service as complete, YusMe reserves the right to automatically release the funds.

  • YusMe acts solely as a neutral escrow agent. We are not liable for funding shortfalls if a Customer's initial external payment method fails or is subject to a bank-level chargeback prior to escrow clearance.

3.3. Cash Payment Disclaimers: Customers and Service Providers may elect to settle transactions via direct, offline cash payments. YusMe expressly disclaims all liability for transactions settled in cash.

  • By choosing the cash modality, you acknowledge that YusMe cannot secure the funds, guarantee payment, prevent physical theft, or reverse the transaction in the event of a dispute.

 

4. Hybrid Marketplace: Product Add-ons and the Duty of Conformity

4.1. Vendor Status and OHADA Compliance: Service Providers may offer Product Add-ons to Customers. By listing physical products or Extra services related to the listed service, the Service Provider assumes the legal status of a commercial vendor and is bound by the "duty of conformity" as stipulated in Article 255 of the OHADA Uniform Act on General Commercial Law.

4.2. Vendor Obligations: The Service Provider guarantees that all Product/Service Add-ons:

  • Match the exact quantity requested by the Customer.

  • Are of satisfactory quality, functional, and free of latent defects.

  • Precisely match the specifications, descriptions, and pricing listed on the Platform.

  • Are safely and adequately packaged for delivery.

4.3. Platform Disclaimer for Goods: YusMe acts purely as an intermediary software provider. We make no express or implied warranties regarding the merchantability, fitness, or safety of any Product/Service Add-ons sold by Service Providers. The Service Provider bears total liability for product defects, personal injury, or property damage caused by their goods.

5. The YusMe Referral Program

5.1. Mechanics and Eligibility: Users and Service Providers may receive a unique referral code to invite new Service Providers to the Platform. A referral reward is only triggered when the referee successfully completes the following sequence: (i) registers a new account, (ii) passes mandatory KYC verification, (iii) completes their professional profile, and (iv) successfully pays for a premium subscription 

5.2. Anti-Spam and Acceptable Use: Referrals must be used for personal and non-commercial purposes. Referrers are strictly prohibited from "spamming" via mass unsolicited emails, SMS, automated bots, or deceptive marketing practices. Self-referrals (utilizing secondary devices or alternate emails to claim rewards) constitute fraud.

5.3. Clawbacks and Taxation:

  • If a referred Service Provider cancels their subscription or initiates a chargeback shortly after payment, YusMe reserves the right to claw back and deduct the corresponding referral reward from the referrer's Wallet Balance.

  • Referral rewards constitute taxable income. YusMe disclaims responsibility for the individual income tax liabilities of referrers. Pursuant to the 2026 Finance Law and the General Tax Code, YusMe reserves the right to automatically withhold applicable taxes, including the Special Income Tax (SIT) or the 3% digital services tax, from referral payouts prior to disbursement.

6. Dispute Resolution and Governing Law

6.1. Tiered Resolution Protocol: Any dispute arising between a Customer and a Service Provider must first be subjected to internal mediation through the Platform's messaging and ticketing system. If the dispute involves funds held in Escrow, YusMe holds the unilateral authority to adjudicate the evidence (e.g., chat logs, photos) and determine the final release or refund of the funds.

 

6.2. Binding Arbitration: Any dispute directed against YusMe LMT that cannot be resolved through customer support shall be submitted to binding, confidential arbitration in accordance with the rules of the OHADA Common Court of Justice and Arbitration (CCJA) or a recognized arbitral body in Douala, Cameroon. Users explicitly waive their right to participate in class-action lawsuits.
